Job Summary
The Head of Legal/Lawyer will be responsible for managing the legal risk of the Group by providing proactive legal counsel to the board and management of the Group. The successful candidate will be responsible for analyzing and identifying the legal risks and implications of all corporate, commercial and financial transactions and ensuring compliance with relevant laws and regulations.
Key Responsibilities
1. Provide credible advice to the management on legal matters.
2. Provide accurate and timely counsel to other department within the organisation.
3. Give legal advice to the management on major development and commercial transactions with third parties. Drafting and vetting of all legal documents.
4. Drafting, vetting review of MOA, MOU, Leases, undertaking and authority letters, vendor contracts etc. on behalf of the company.
5. Ensure that the company’s legal matters are managed properly, efficiently and that respective stakeholders are given proper advice and guidance.
6. Be the point person managing and working closely with the Retainership Lawyer and Company Secretary. Manage intellectual property portfolio of the company.
7. Brand Protection, investigation and enforcement on anti-counterfeit matters. Manage Litigation Portfolio of the Company.
8. Mitigate the risk of Litigation to prevent unnecessary actions and embrace settlements. Liaise with all regulatory bodies.
9. Remove /minimize the incidence or sanctions and penalty payments
10. Shareholders Relations Management, Board Affairs and Governance gatekeeping
11. Meeting management to coordinate the affairs of the board and management.
Job Requirement
1. Bachelor’s Degree in Law with strong academic credentials. Member of the Ghana Bar Association(GBA).
2. 5 -10years experience in a law firm or as an in-house counsel, preferably working as a Senior Lawyer. Strong legal experience in corporate and commercial matters.
3. Successful experience leading negotiations on complex, high value, contracts, and agreements.
4. Demonstrable track-record producing effective and high-quality legal advice to departmental heads within a business, leading to enhanced integrity in both internal and external affairs.
5. Proven and successful experience creating departmental priorities that align strategic direction of the legal department and the overall business objectives.
